论企业治理中的控制治理
摘 要 控制治理是指对企业各项治理活动在执行过程中行为的监视和约束。控制治理过程是通过制定企业的治理制度、确保企业各项政令的执行外还必须重视各层级执行信息的反馈、执行过程中数据的收集、整理分析，并依此作为有效控制企业的依据。控制治理是对组织执行行为的约束，亦即使组织内所有治理活动和执行治理活动的行为严格在组织预定的轨道上运行，因此在企业中控制治理必然越来越受到企业决策者的重视。笔者以为内部控制整体框架除了内部治理控制、企业外部治理控制和治理控制程序外上述三项过程治理外，还应包括建立使以上治理控制有效执行的控制治理架构，这是企业发展到一定阶段的必然需要，必将在企业经营过程中起到越来越重要的作用。

企业的治理在于确保组织内的要素在一定框架下实现组织的经营目标，而控制治理就是要对组织的治理行为进行必要约束，使其在限制条件下保障组织目标的实现。企业的经营治理不仅涉及组织内部人财物、产供销的治理，同时还涉及企业的决策治理、企业文化的培育、外部环境的分析以及政策影响力分析等方面，随着经济的飞速发展和贸易竞争的日益激烈，对企业的治理也提出了新的要求，不仅要规范企业治理结构、提升企业治理水平，更要注重防范企业治理过程中产生的潜伏经营风险。本文所论述的控制治理是指对企业各项治理活动在执行过程中行为的监视和约束。每个企业里都会有各种治理制度和治理方法，来确保组织内的所有职员按照预定措施来实现企业的方针目标，在新的控制治理体系中，治理者除了制定企业的治理制度、确保企业各项政令的执行外还必须重视各层级执行信息的反馈、执行过程中数据的收集、整理分析，并依此作为有效控制企业的依据，这就是控制治理过程。在企业经营过程中，企业治理固然重要，但对企业治理的控制、对企业监视人的约束、对企业经营风险的熟悉、预防和控制更为重要。治理控制是针对组织活动过程的治理，而控制治理是对组织执行行为的约束，亦即使组织内所有治理活动和执行治理活动的行为严格在组织预定的轨道上运行，因此在企业中控制治理必然越来越受到企业决策者的重视。
